Terms of Service

This is a working draft, not a published agreement. It's built to be complete enough to link during A2P 10DLC registration and early pilot onboarding, but it has not been reviewed by an attorney and contains placeholders (marked like this). Sections 10–12 (disclaimers, liability, indemnification) and 15 (governing law) carry real legal weight and specifically need counsel's input before this is used to bind a paying client business.

01Acceptance of these terms

These Terms of Service ("Terms") govern access to and use of StandWatch AI's after-hours call answering and messaging service (the "Service"). By signing up for, configuring, or using the Service, a business ("Client," "you") agrees to these Terms on behalf of itself and its authorized staff.

These Terms apply to the Client business that contracts with StandWatch AI. Callers who reach a Client's after-hours line through the Service are not themselves parties to this agreement — their interaction with the Service is covered by our Privacy Policy and by whatever agreement exists between them and the Client business they called.

02The service

StandWatch AI answers inbound after-hours calls on a Client's behalf, using an AI voice agent to hold a natural conversation with callers, triage requests as emergency or routine, and relay the resulting information to the Client according to rules the Client configures. Where enabled, the Service also sends SMS confirmations to callers and SMS alerts to a Client's on-call staff.

The Service currently launches focused on HVAC businesses. StandWatch AI may expand availability to other home service trades over time; these Terms apply regardless of trade.

03Client accounts

  • The Client is responsible for providing accurate business information, escalation rules, and staff contact details during setup, and for keeping them current.
  • The Client is responsible for obtaining any consent needed from its own staff before adding their numbers to receive dispatch alerts, and confirms it has the authority to do so.
  • The Client is responsible for account credentials and for activity that occurs under its account.
  • StandWatch AI may suspend an account for activity that violates these Terms, creates legal risk, or threatens the security of the Service.

04Acceptable use

The Client agrees not to use the Service to:

  • Send messages or place calls without the consent required by applicable law, including TCPA and A2P messaging rules
  • Send unlawful, deceptive, or harassing communications through the Service
  • Attempt to reverse-engineer, resell, or white-label the underlying platform without a separate written agreement
  • Interfere with the Service's operation or attempt to access another Client's data or configuration

05Fees & billing

Fees for the Service are set out in the pricing or order form the Client agrees to at signup. Pricing model, billing cadence, and refund policy — to be finalized before this section is treated as binding. StandWatch AI will provide notice before changing fees for an existing Client.

06Calls, recording & SMS

Calls handled by the Service may be recorded and transcribed, and the Service discloses to callers, where required, that they are speaking with an automated system. The Client is responsible for confirming that call recording and automated-call disclosure practices comply with the law of every jurisdiction in which it operates, since requirements vary by state.

SMS messages sent through the Service are governed by the consent practices and disclosures in our Privacy Policy, including STOP/HELP handling and message-rate disclosures.

07Availability

StandWatch AI is built for continuous, reliable coverage, and treats every dropped or missed call as a failure worth investigating — but no service can promise perfect, uninterrupted uptime. The Service depends on third-party telephony and carrier networks outside our control, and outages, maintenance, or force majeure events can affect availability.

A specific uptime commitment or SLA, if StandWatch AI offers one, should be defined here with input from counsel rather than implied by marketing language.

08Intellectual property

StandWatch AI retains all rights to the Service, including its software, voice models, and underlying technology. The Client retains all rights to its own business data, including its customer information and dispatch configuration, and grants StandWatch AI a limited license to use that data solely to operate the Service on the Client's behalf.

09Data & privacy

Our collection and use of information through the Service is described in the StandWatch AI Privacy Policy, which is incorporated into these Terms by reference.

10Disclaimers

The Service, including its AI-driven call triage, is provided "as is." StandWatch AI works to accurately distinguish emergency from routine requests, but the Client remains responsible for reviewing dispatch outcomes and maintaining its own backup process for handling urgent situations. StandWatch AI does not guarantee that every classification will be correct.

This section carries real liability exposure given the Service makes triage judgments about emergencies — have counsel draft the final warranty disclaimer language rather than relying on this draft as-is.

11Limitation of liability

Liability cap, exclusion of consequential damages, and any carve-outs — this section needs counsel's input on the specific dollar cap and structure before publishing, particularly given the Service's role in emergency triage for home service calls.

12Indemnification

Mutual or one-directional indemnification language — draft with counsel based on the final liability structure in Section 11.

13Term & termination

These Terms remain in effect for as long as the Client uses the Service. Either party may terminate the relationship as described in the Client's order form or with notice period to be set written notice. On termination, StandWatch AI will make Client configuration and call history data available for export for a limited period, then delete it per our retention practices described in the Privacy Policy.

14Founding partner terms

StandWatch AI is early — the Service is built and operational, but has not yet handled a large volume of live customer calls. Founding partners understand they are among the first businesses using the Service, that features and pricing may evolve as the product matures, and that their feedback directly shapes the product roadmap. Any specific founding-partner pricing lock-in or commitment period should be spelled out explicitly once finalized.

15Governing law

Governing state law, venue, and whether disputes go through arbitration or court — a decision for counsel, typically based on where StandWatch AI is incorporated.

16Changes to these terms

StandWatch AI may update these Terms as the Service evolves. Material changes will be reflected by an updated effective date, and continued use of the Service after changes take effect constitutes acceptance.
